The Assignor (Global Structured Products (Jersey) Limited) assigns to the Assignee (Newpoint Surety Asset Finance Ltd) all rights, title and interest granted to the Assignor by an irrevocable pledge and assignment to all rights, title and interest in and to the principal corpus of the United States Treasury registered under CUSIP 912810QZ4, wherever located, whether now existing or hereafter from time to time arising or acquired, pursuant to the Collateral Pledge and Security Agreement between the Assignor and NMS Special Opportunity Fund, LP dated March 1, 2024 as referenced in the amounts shown in the demand promissory notes numbered NFGA-2024-1001 to NFGA-2024-1027 consecutively. NMS Special Opportunity Fund, LP granted rights to this collateral to the Assignor pursuant to the rights conferred to it by the Grantor (as described in the Collateral Pledge Agreement dated April 20, 2017 and as amended on March 30, 2020) and confirmed under the original and all amended Collateral Pledge Agreements on file with NMS Special Opportunity Fund, LP.
